Supercap, Gruppo CREALIS, rafforza la sua presenza nel mercato dei tappi a t grazie all’accordo con 3 società
Supercap S.r.l (“Supercap”), società del gruppo Crealis (“Gruppo”), ha firmato tre acquisizioni strategiche in Portogallo per potenziare la propria presenza e rafforzare la posizione sul mercato. Supercap è a capo della divisione “Tappi a T” del Gruppo Crealis, producendo chiusure per distillati, olio e aceto. Situata a Pesaro, nel centro Italia, Supercap è già presente anche in Messico con una sede produttiva a Guadalajara e conta in totale oltre 700 persone. Lo scorso dicembre 2022 Supercap ha firmato degli accordi vincolanti per acquisire il 100% del capitale sociale di tre diverse società con sede a Santa Maria de Feira a Porto (Portogallo): Woodcap Industria de Capsulas de Madeira, Manuel Firinho & Filhos e Jesus Couto & Pereira.
Crescere per migliorare
Le tre società impiegano insieme circa 100 personee nel 2022 hanno generato un fatturato totale di oltre 25 milioni di euro. Questa operazione darà vita al nuovo polo industriale Supercap in Portogallo, completando il portafoglio prodotti offerti già dal gruppo nel segmento “Tappi a T” e aggiungendo in particolare i prodotti in sughero naturale. Supercap offrirà così la più ampia gamma di soluzioni agli imbottigliatori di distillati e condimenti, garantendo la massima qualità e sicurezza dei propri prodotti. Grazie a queste tre acquisizioni, Supercap prevede di generare nel 2023 un fatturato di oltre 100 milioni di euro, grazie ai propri siti produttivi in Italia, Portogallo e Messico, impiegando in totale circa 800 persone.
Il closing delle tre operazioni è previsto entro la fine del primo trimestre 2023.
Supercap è stata assistita per le due diligence finanziaria e fiscale da Pwc Italia e Pwc Portogallo, nonché per la due diligence legale e l’assistenza legale da CCR – Sociedade de Advogados (uno studio legale indipendente membro di PWC).
Woodcap Indústria de Cápsulas de Madeira, LDA: Nata nel 1998 e attualmente di proprietà della Famiglia Soares, l’azienda concentra le proprie attività nella produzione di tappi in legno per l’industria delle bevande. Woodcap esegue inoltre servizi di finitura e personalizzazione di vari prodotti anche per altre aziende. Woodcap ha un organico di 40 persone, esportando oltre il 50% della propria produzione. Luis e Catia Soares continueranno a gestire l’azienda.
Manuel Firinho, LDA: Fondata da Manuel Pereira da Silva nel 1974, la società ha preso il nome attuale nel 2001. L’azienda focalizza la propria attività nella produzione di tappi in sughero naturale per il settore delle bevande, specializzandosi in tutte le tipologie di tappi in sughero con tappo incapsulato. L’organico di Manuel Firinho conta 18 persone. L’export rappresenta oltre l’80% del fatturato totale dell’azienda, con presenza in diversi mercati, tra cui Francia, Australia, Turchia, Germania, Austria, Stati Uniti e Sud Africa. I fratelli Ana, Pedro e Sara Pereira da Silva continueranno a gestire l’azienda.
Jesus Couto & Pereira, LDA: Fondata nel 2011 da Rui Pereira e Gorete Pereira, l’azienda opera nel settore del sughero naturale, producendo tappi a T in sughero naturale. La società oggi conta un organico di 38 persone. Più del 90% della produzione viene esportato. Rui de Bastos Pereira e Gorete Couto Pereira continueranno a gestire l’azienda anche dopo la formalizzazione dell’accordo.

Supercap signs three deals in Portugal
Supercap, part of CREALIS, strengthens its presence on BarTop market following the agreement with 3 new companies
Supercap Srl (“Supercap”), part of the Crealis group (“the Group”), is signing three strategic acquisitions in Portugal to expand its global presence and strengthen its market position. Supercap is the leader in Group’s BarTop division which provides closure solutions for spirits, olive oil and vinegars. Headquartered in Pesaro (Italy), Supercap also has a manufacturing facility in Guadalajara (Mexico) and counts over 700 employees overall. The company signed binding agreements in December 2022 to buy 100% of the share capital of three different companies based in Santa Maria de Feira (Porto, Portugal): Woodcap Industria de Capsulas de Madeira, Manuel Firinho & Filhos and Jesus Couto & Pereira.
Be bigger, to be better
The three companies combined employ almost 100 people and generated a total turnover in excess of €25m in 2022. This transaction will create a new industrial hub for Supercap in Portugal and expand the company’s product offering by notably adding natural cork products to its line. By providing the most comprehensive set of products to the spirits and condiments bottling industry, Supercap will further cement its position in the BarTop segment, whilst continuing to ensure the highest standards of quality and safety for its clients’ products. Through these transactions, Supercap expects to generate more than €100m in turnover in 2023 and increase its headcount to 800 employees, across its manufacturing plants in Italy, Portugal and Mexico. The closing of the 3 transactions is expected by the end of Q1 2023. Supercap has been assisted for Financial and Tax DD by Pwc Italy and Pwc Portugal, whilst for legal DD and legal assistance by CCR – Sociedade de Advogados (an independent law firm member of PwC’s legal practices).
Woodcap Indústria de Cápsulas de Madeira, LDA: Incorporated in 1998 and currently owned by the Soares Family, the company focuses its activities on the manufacturing of wood cap for the beverage industry. Woodcap is also subcontracted to perform finishing or customisation services of counterparties products. Woodcap has a headcount of 40 people, exporting over than 50% of its production. Luis and Catia Soares will continue managing the company.
Manuel Firinho, LDA: Founded by Manuel Pereira da Silva in 1974, the company was incorporated as a family-owned business under the current name in 2001. The company focuses its activities on the natural cork stoppers production for the beverage sector, specializing in all types of cork stoppers with different capsulated tops. Manuel Firinho’s headcount is 18. Export represents over 80% of the company’s total revenue, with presence in several markets – among others – France, Australia, Turkey, Germany, Austria, the U.S. and South Africa. The three brothers, Ana, Pedro and Sara Pereira da Silva will continue to manage the company.
Jesus Couto & Pereira, LDA: Founded in 2011 by Rui Pereira and Gorete Pereira, the company operates in the natural cork sector, producing cork stoppers with top cork capsules. The company currently has a headcount of 36 people. More than 90% of the production is exported. Rui de Bastos Pereira and Gorete Couto Pereira will continue managing the company after closing.
